Welcome to Pai! These Terms of Service ("Terms") govern your access to and use of the Personal Artificial Intelligence Company (“Pai” “we” “us” or “our”) website, platform, and services (collectively, the "Services"). These Terms constitute a legally binding agreement made between you, and if applicable, the entity you represent (“you” or “Customer”) and Pai. Please read these Terms carefully before using our Services. By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility and Account Creation

You must be at least 18 years old to use the Services. By creating an account, you represent that you are at least 18 and that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account in violation of these Terms. Notify us immediately of any unauthorized use of your account. You are responsible for all activity under your account in violation of these Terms, including where actions are taken by employees, contractors, service providers, authorized users, or other agents.

2. Use of Services: 

Subject to compliance with these Terms, Pai grants Customer a limited, non-exclusive, non-transferable license to access and use the Services for business purposes.

Except as expressly permitted in these Terms, Customer may not copy, modify, distribute, sell, sublicense, or create derivative works of the Services, platform interface, software, or underlying technology.

For clarity, these restrictions do not apply to Outputs generated for Customer through the Services, which Customer may use in accordance with Section [AI Outputs].

Customer agrees to use the Services in compliance with all applicable laws and regulations. Customer may not use the Services to:

• Upload or transmit any content that infringes any intellectual property or proprietary rights

• Upload or transmit any content that is defamatory, obscene, threatening, abusive, or hateful

• Interfere with the functionality or security features of the Services

• Attempt to gain unauthorized access to the Services or its related systems

• Use the Services for any fraudulent or illegal purpose

3. Intellectual Property

3.1 Definitions. “User Content” means, except to the extent deemed Usage Data (as further defined), a subset of Confidential Information and non-Confidential Information comprised of electronic data, text, survey responses, research reports, images, audio, video, or other materials submitted to and stored within the Services by Customer in connection with use of the Services.

User Content expressly excludes information, content and data about Customer’s and Authorized Users’ usage and the performance of the Services (such information, content and data, “Usage Data”). 

3.2. User Content. Customer will continue to retain its ownership rights to all User Content, and Customer hereby grants Pai a limited, irrevocable, worldwide, royalty-free, sublicensable, transferable license to reproduce, make derivative works of, or distribute User Content solely as necessary to provide the Services during the Term to the Customer including:

1. Operating and improving the Services to you;

2. Providing research insights to you from the authorized research organizations commissioning the relevant study;

3. Processing data for you; and

4. Complying with legal obligations.

   
   

This license is strictly limited to Service-related purposes. We will not sell, transfer, process, or disclose your User Content to any third party or use it for any unauthorized purposes without your explicit consent.

You are responsible for ensuring you have all necessary rights to grant this license and warrant that your User Content complies with applicable laws and doesn't violate

third-party rights.

If you delete your User Content, we will cease using it for ongoing services, though we may retain copies for legal compliance.

3.3. Usage Data. Customer hereby assigns to, and Pai hereby owns, all Usage Data.  Pai may use such Usage Data for any commercial purpose, including without limitation to collect, store, and analyze, whether through itself or through a third party, such Usage Data in order to operate, maintain, enhance and promote the Services. 

3.4. Feedback.  Customer hereby assigns to Pai all intellectual property rights to any suggestions, enhancement requests, recommendations or other feedback that it, its Authorized Users, or its other agents may provide to Pai.

3.5 Personas and Segments. AI Personas and Segments are generated using Pai’s proprietary technology, including its models, systems, and methodologies, and form part of the Services. Pai retains all right, title, and interest in and to the architecture of AI Personas and Segments and the underlying models, algorithms, and systems used to create them.

Customer retains all right, title, and interest in and to its User Content used as inputs to generate AI Personas and Segments, as well as any Outputs generated for Customer through the Services.

During an active subscription, Customer is granted a limited, non-exclusive, non-transferable license to access and use AI Personas and Segments generated for Customer through the Services for Customer’s internal business purposes.

AI Personas and Segments generated using Customer’s User Content will be made available solely to Customer and will not be shared with, provided to, or used to generate customer-specific personas or segments for any other customer. Pai will not use Customer-specific AI Personas or Segments to train models or generate personas for other customers.

3.6. Reservation of Rights Except as expressly described herein, each Party will retain all other rights, title and interest in any of its own patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how and any other intellectual property and/or proprietary rights (“Intellectual Property Rights”).

4. AI Outputs. Subject to Customer’s compliance with these Terms, Pai assigns to Customer all right, title, and interest in and to any reports, analyses, summaries, insights, or other outputs generated by the Services for Customer based on Customer’s inputs (“Outputs”).

Customer may use, copy, modify, distribute, and share the Outputs internally and externally for its business purposes.

Notwithstanding the foregoing, Pai retains ownership of (i) the Services, including all software, models, algorithms, workflows, and underlying technology, and (ii) any general improvements to the Services derived from aggregated or anonymized usage data. 

5. Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by Pai. We have no control over the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that Pai shall not be responsible or liable for any damage or loss caused by your use of any third-party sites or services.

6. Termination 

We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

7. Disclaimer of Warranties 

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Pai does not warrant that the Services will be uninterrupted, timely, secure, or error-free.

8. Limitation of Liability

To the fullest extent allowed by law, in no event shall Pai be liable to you or any third party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these Terms or your use of the Services, even if Pai has been advised of the possibility of such damages.

9. Indemnification

You agree to defend, indemnify and hold harmless Pai from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in San Francisco, California for any actions related to these Terms or use of the Services.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice on our website or by other means. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.

These Terms constitute the entire agreement between you and Pai regarding the use of the Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
